Terms & Conditions

1. Definitions

• “Platform” refers to Zalient Shop, including its website, applications, and related services
• “Company” / “Zalient” / “We” / “Us” refers to Zalient Company Pvt. Ltd.
• “Seller” refers to any business or individual offering products or services through Zalient Shop
• “Buyer” / “Customer” refers to any person purchasing from a seller
• “User” refers to both sellers and buyers

2. Nature of the Platform

Zalient Shop is a technology facilitation platform only.

• Zalient Company Pvt. Ltd. does not own, manufacture, store, or sell products listed on the platform
• Zalient is not a party to the sales contract between sellers and buyers
• All transactions are directly between seller and buyer

3. Eligibility

• Users must be 18 years or older
• Sellers must operate lawful businesses under Nepalese law
• Users must provide accurate, current, and complete information

Zalient Company Pvt. Ltd. reserves the right to suspend or deny access if eligibility requirements are violated.

4. Seller Responsibilities

Sellers agree to:

• Provide accurate product descriptions, pricing, taxes, and delivery timelines
• Ensure compliance with Nepalese laws and regulations
• Fulfill orders in a timely and professional manner
• Clearly disclose return, refund, and cancellation policies
• Handle customer complaints and after sales service
• Maintain required legal documents (PAN, VAT, licenses where applicable)

Any fraudulent, misleading, or illegal activity may result in suspension or termination.

5. Buyer Responsibilities

Buyers agree to:

• Provide correct delivery and contact information
• Make payments as agreed with the seller
• Respect seller policies and platform rules
• Use the platform lawfully and responsibly

6. Pricing & Payments

• Product prices are determined by sellers
• Payments may be made via Cash on Delivery (COD) or supported digital payment gateways
• Zalient Company Pvt. Ltd. is not responsible for payment gateway failures, delays, or third party errors
• Any platform service fees (if applicable) will be disclosed transparently

7. Delivery, Returns & Refunds

• Delivery timelines are determined by sellers and logistics partners
• Zalient does not guarantee delivery schedules
• Returns, refunds, and cancellations are governed by seller policies in compliance with Nepal's Consumer Protection laws
• Zalient Company Pvt. Ltd. does not process product refunds directly

8. Platform Usage Rules

Users must not:

• Sell illegal, restricted, or counterfeit products
• Publish false, misleading, or deceptive information
• Manipulate pricing, reviews, or ratings
• Attempt unauthorized access or misuse of data
• Use the platform for unlawful purposes

Violation may result in suspension, termination, or legal action.

9. Intellectual Property Rights

• All platform software, UI or UX, trademarks, and branding belong to Zalient Company Pvt. Ltd.
• Sellers retain ownership of their product content
• Users may not copy, modify, distribute, or exploit platform IP without written consent

10. Limitation of Liability

To the maximum extent permitted by law, Zalient Company Pvt. Ltd. shall not be liable for:

• Business losses or loss of profits
• Product quality, defects, or authenticity
• Delivery delays or failures
• Payment gateway or third party service issues
• Seller buyer disputes
• Indirect or consequential damages

Use of the platform is at the user's own risk.

11. Indemnification

Sellers agree to indemnify and hold harmless Zalient Company Pvt. Ltd., its directors, employees, and partners from any claims, losses, or legal actions arising from:

• Their products or services
• Violation of laws or third party rights
• Misrepresentation, fraud, or negligence

12. Account Suspension & Termination

Zalient Company Pvt. Ltd. may suspend or terminate accounts if:

• These Terms are violated
• Fraud or abuse is detected
• Required by law or regulatory authorities

Termination does not waive existing legal obligations.

13. Data Protection & Privacy

All data handling is governed by Zalient Shop's Privacy Policy. By using the platform, users consent to data processing as described therein.

14. Changes to Terms

Zalient Company Pvt. Ltd. may revise these Terms to reflect:

• Legal or regulatory changes
• Platform updates or improvements

Continued use after changes constitutes acceptance of the revised Terms.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of Nepal, including:

• Electronic Commerce Act, 2081
• Consumer Protection Act
• Privacy Act, 2075
• Electronic Transaction Act, 2063

All disputes shall fall under the jurisdiction of Nepalese courts.

16. Grievance Officer

In compliance with Nepalese law, Zalient Company Pvt. Ltd. has appointed a Grievance Officer.
